If you have kept an eye on press since the start of 2005, you will have read the opinions of several industry & legal commentators regarding the requirement to prepare Directors' Compliance Statements under the Companies (Auditing & Accounting) Act 2003. 

 

This obligation, when enacted, will affect both

(1) private companies (share capital) with turnover greater that €15.2m or assets in excess of €7.6m and

(2) all PLCs. 

 

When this provision is progressed , companies will need to invest considerable resources into both understanding their obligations and building the necessary internal controls and procedures required to allow their directors to properly sign the Directors' Compliance Statement.  In addition, IFSRA already has the power to require financial sector firms to produce a compliance statement under the Central Bank and Financial Services Authority of Ireland Act 2004.
